Publisher/Author’s Policy
Submission
You agree that
a Contract is made only on Virtual Products Solutions Limited’s (VPS Ltd) acceptance
of your work as effected by VPS Ltd.’s acknowledging receipt via an email
notification.
All other Contracts
are subject to this Policy, the Price (Maximum and Minimum quote), the
Technical Specifications, the Editorial Policy, the Copyright Policy, or any
addition thereto shall not be effective unless specifically agreed to in
writing by VPS Ltd.
It is your
responsibility to check the correctness of any submitted work. VPS Ltd consents
that any Work submitted to it for sale or access or both on our platform shall
comply with all applicable laws, legislation, regulations, and code of practice
and is not an infringement of any other party’s rights. VPS Ltd is hereby
granted a worldwide non-exclusive, commission license to reproduce and display
the Work (including all contents, trademarks, and brand features contained
therein). You will indemnify and keep indemnified VPS Ltd fully for all costs,
expenses, damages, or liability whatsoever (including legal costs and awards
ordered against VPS Ltd) in respect of any claim made against VPS Ltd arising
from the sale, advertisement, or publication or because of any breach or
non-performance of any of the representations, warranties or other terms
contained herein or implied by law caused as a result of your publication or infringement
done by you.
You warrant
that all copy of work submitted to VPS Ltd (including any linked website) is
legal, truthful, honest, and decent and otherwise complies with the Local Code
of Advertising in your jurisdiction, sales promotion and direct marketing, and
all other relevant and applicable codes, guidance, or regulations.
VPS Ltd
reserves the right at any time in its absolute discretion to require the Author
of a work to amend any work for and relating to any sale or to cancel any Contract
or to omit or suspend a work (for example if it is libelous, unlawful,
defamatory, pornographic, socially unacceptable, insensitive, or otherwise
contrary to editorial policy). Where such cancellation, omission, or suspension
is due to the act or default of the Author or its servants or agents including
the unsuitability of the sale as indicated above, then the Author shall not
hold VPS Ltd liable on any form of legal or equitable relief. Such
cancellation, omission, or suspension shall be notified to the Author as soon
as reasonably possible.
All Works of
the Author are subject to VPS Ltd.’s approval before acceptance.
VPS Ltd does
not undertake to review the contents of any work and any such review and/ or
approval by VPS Ltd will not be deemed to constitute an acceptance by VPS Ltd
that such work is provided in accordance with this Policy, nor will it
constitute a waiver of VPS ltd.’s rights hereunder. If VPS Ltd considers it
necessary to modify space alter the date or position of insertion or make any
other alteration it shall notify the Author of this before implementation.
Any complaints
concerning the Work must be received in writing by VPS Ltd not more than 14
days after the uploaded date. Complaints received after such time will not be
entertained by VPS Ltd who shall have no liability in respect thereof.
Definition
Work
means
Law Reports, Textbook, Articles, Videos, and Journals of the submitting party.
Channel
means
any of the digitally approved Platform used by VPS Ltd to display its products
to the public
Platform
means
either internet access, a mobile application such as Android and IOS operating software,
or any other either operating as VLL or under any such name that VPS Ltd shall
decide to operate under.
Author/Publisher means the owner of the work,
or the person permitted by the copyright owner to
present such work for sale
Fees
You are solely responsible for the price you choose to
sell your work on the VPS ltd channels, VPS ltd is not able to negotiate prices
on behalf of its users. VPS Ltd shall however advise that moderate amounts be
posted to encourage users of the channel to quickly acquire them at the point
of decision.
You agree that 12% plus (7.5% for VAT) of the total
cost of the work shall constitute a commission fee and Value Added Tax
respectively shall be deducted from the source and the difference of 80.05%
shall be credited into your preferred bank accounts submitted by you.
You agree that the 12% commission fee shall exclude all
forms of tax required by law to be deducted at source on every copy of your
work purchased through the VPS Ltd Channels. Thereby upon such deduction the
tax credit receipt shall be presented to you via email or postal and the
difference which will amount to 80.05% shall be paid into your preferred bank
account on the agreed day of settlement.
Where your work is read on the ‘rent option’ page you
shall be entitled to 45%/reader/rental for every single time your work is
selected and read by a user on the platform.
Access
You shall have access to monitor the activities of your
uploaded work via a vendor login where you have access to the number of readers
that have accessed your work over a defined period, the number of downloads of
your work, the amount paid for your work and the credit status of your account
from your dashboard for a defined duration of time. This is only after you have
successfully registered as an author/publisher and your application
successfully received by VPS Ltd.
Warranties
You warrant that the work you are about to submit is an
original intellectual work of yours and there are no claims, court orders,
conflict, or disagreement of any sort involving a third party over issues
ranging from copyright to authorship of the work being submitted this day.
Royalties
You are eligible for Royalty payment from VPS Ltd for
books with sources traced to you when an individual customer rents and reads per
day. Such royalty payment shall be added up by the number of times an
individual customer reads your book over a period of One month or 30 days or
whichever is more.
An individual customer can read your book as many times
as they deem fit to in 3 days, you shall only be paid for royalty for such period
once.
Royalty to be paid to you is valued at 45% per user, per
rental, and per book. You will receive forty-five percent (45%) of the flat
rate paid by such a user for renting the book.
Notification Period
You shall notify VPS Ltd of your preference to
discontinue using our platform by giving VPS Ltd 21 days’ notice in writing
sent to the following email: hello@virtuallawlibrary.com
you shall title it Termination of Contract.
Upon receipt of your notice VPS Ltd shall discontinue the
display of your works on its platform, Your entitlement shall be calculated if
any, and paid into your account with us on the 6th day of a new
month, and this new month shall not include the month you sent in your
notification.
Where the 6th day of the new month falls on
a weekend by Nigeria calculation it shall be paid immediately on the next
business day.
Listing and Delisting
VPS Ltd shall have and solely retain the right to list
works on its Platform. VPS Ltd shall have and solely retain the right to delist
works on its Platform. Whereby an order of a competent Court is expected of VPS
Ltd to delist a work from its Platform, VPS Ltd shall without resorting to the
author/publisher of such work comply with the order of such competent Court
Reports
Where there is a discovery of any copyright or
trademark infringement on VPS Ltd.’s platform, the discovery party shall
immediately report such infringement to reports@virtuallawlibrary.com and ensure a receipt query code is generated
and sent to the person via email.
Applicable Law
This Policy shall be governed by and is construed in
accordance with the Laws of the Federal Republic of Nigeria. Subject to the clause
below, the Nigerian Courts shall have exclusive jurisdiction as set out in the
Constitution of the Federal Republic of Nigeria.
Indemnity
Where for any reason the work published by the Author
or publisher is brought to question and VPS Ltd is involved in the claim, case,
accusation, or defamatory statement, the
Author/publisher agrees that it shall defend, indemnify, save, and hold VPS Ltd
harmless from any and all demands, liabilities, losses, costs, and claims,
including reasonable attorneys' fees, (collectively "Liabilities")
asserted against VPS ltd, its contracted providers, agents, Clients, servants,
officers and employees, that may arise or result from any service provided or
performed or agreed to the performance of any product sold for the Author/publisher,
its agents, employees or assigns. The Author/publisher agrees to defend, indemnify,
and hold harmless VPS Ltd against Liabilities arising out of (i) any aggrieved
person or property caused by any work sold or otherwise distributed in
connection with the Author; (ii) any material supplied by the Author infringing
or allegedly infringing on the proprietary rights of a third party; or (iii)
copyright infringement and/or litigation regarding content-related disputes.
Copyright
You shall register your work for copyright protection
before submission to our platform. Where for any reason you fail to obtain the
necessary copyright for your work(s), VPS Ltd shall not be held liable for any
infringement done by a third party.
Trademark
You hereby grant VPS Ltd the right to use images, and text
from your work for marketing and advertising only. VPS Ltd shall not at any
time claim ownership of such images, text, or lines from your work unless such
images, text, or lines are in the public realm for public use.
You shall be expected to have trademarked your work
against unauthorized use by third parties as VPS Ltd shall not be held liable
for any of such infringement owning to the display of your work on our
Platform.
Variations, Modifications, and Amendments
You agree that the terms of this policy can be changed,
or modified in any manner VPS Ltd deems fit, VPS Ltd shall in keeping with good
faith notify you of any such changes or modifications made at least 24 hours
before implementation of such policy.
